DeSIERVI and DEBORAH Y. DeSIERVI, his wife, both residing at.21 Cedar Pond, Peekskill, New York 10566 (hereinafter referred to collectively as "DeSiervi "). W.I T H E S S E T H: WHEREAS, Floradan is the owner of certain lands, private roadways, recreation facilities, and other common facilities for the benefit of those homeowners in a community known as Floradan Estates, situate in the Town of Putnam Valley, County of Putnam, State of New York; and WHEREAS, Floradan desires to provide for the preservation of the values and. amenities in, said -mac as ' w Z'�; ._. _ ...,._ community-- _.�_ �: .....:�5.,..the� ... _.._.._..._. maintenance of said lands, private roadways, recreation facilities and other common facilities; and WHEREAS, DeSiervi is.under contract with Bonnie Zabor, a /k /a Bonnie K. Marks, as Seller, to acquire title to the premises . hereinafter set forth on annexed Schedule A, which premises are situate within the community known aforesaid as Floradan Estates; - NOW, THEREFORE, the parties, for themselves, their e successors and assigns, hereby declare that the property described is and shall be held, transferred, sold, conveyed, and occupied subject to and together with the covenants, restrictions and easements hereinafter set forth.' -1- 1. DeSiervi shall install a road connecting Austin Street and Pegasus Road,,..At their own cost and expense. The road is to be a minimum of fifteen (15.) feet wide. It is to be constructed of six (6) nchds,'of item #4, properly crowned and arranged for necessary drainage,,, DeSiervi's_:obligation hereunder shall be limited to the installation. of such roadway not exceeding 450 feet in length. Floradan shall be responsible, at its own cost and expense, for all maintenance and repair of such roadway after its installation. Floradan ` herein grants DeSiervi the right to enter upon the property of Floradan to construct the above road. The installation of such road is subject to the conditions set by the Putnam Valley Fire,Department. 20 Floradan warrants and represents that a Stockholders' Agreement, dated May 26, 1974, 'and a further Shareholders' Maintenance and Operating Expense Sharing Agreement_, dated August .F.� 8 1975, were timely executed by and are binding upon at least LL ` eighty (80 %) percent of the shareholders and homeowners within the Floradan Estates community. DeSiervi agrees to execute a counterpart of each:such Agreement. 3. Floradan warrants and represents 'that at least ninety (90 %) percent of the owners of dwellings within the Floradan Estates community are each the owners. of one (1) share of stock of Floradan.' DeSiervi agrees to purchase one (1) share of stock of Floradan, and Floradan agrees to deliver a fully executed .certificate..therefor, at a price of $3,000.00. -2- 4. Floradan has previously received plans from DeSiervi for the construction of a one - family, three - bedroom residence, and installation,..of a fence, on the premises set forth in Schedule A. Floradan hereby acknowledges its approval of such plans. • 5.. Upon obtaining a Certificate of Occupancy from the Town .of Putnam Val:ley.in connection with the construction set forth in the preceding paragraph, DeSiervi shall be responsible to pay to Floradan its customary and prevailing maintenance charges. Such charges shall.be adjusted on .a pro rata basis. Floradan warrants. and represents that such charges currently do not exceed 1$1,735.00 per.annum for the year April 1, 1991 to March 31, 1992. 6, Floradan agrees to permit DeSiervi to connect into present Floradan water lines at DeSiervi's sole cost and expense hard DeSiQrE�� shall maintain said connection from Austin .- Street -or y ... _. -.. .. a .. .... �.. d .. iaPegasus Road to premises set forth on Schedule A. 7. DeSiervi agrees to abide by present Floradan By -Laws and rules and regulations presently in effect or that may be properly, enacted in the future. • 8. Floradan hereby acknowledges receipt of the total sum of $500..00, for preparation of closing instruments; such charge includes all. c1osinC fees and legal fees. 9. DeSiervi _.agrees to pay the customary charges, if_ any, of the utility company for installation of any and all utility lines which. are .required. to service the premises set forth on Schedule A, -3- . 10. DeSiervi agrees to comply with all zoning, planning and sanitary and building ordinances of the County of Putnam and Town of Putnam Valley.: 11. Floradan forever grants. DeSiervi, their successors, assigns, guests,''invitees and suppliers, the right of way for ingress and egress, by foot or by vehicle, from Oscawana Lake Road to the premises set forth on Schedule A, as well as all other roads and facilities within the Floradan Estates community. 12. Floradan reserves for itself, its successors and assigns,. the right to lay and maintain water pipes, gas and electric telephone lines along and across the premises, but shall not be obligated to lay or maintain such lines except water pipes, in which. event Floradan shall restore the premises to original condition; provided, however, that the exercise of any such right wi11 not interfere with the use of any _future or present improvement on the premises, nor constitute any condition, right of re -entry or forfeiture under which DeSiervi can be cut off, subordinated, or otherwise disturbed. 13. The premises shall not be used for other than private residential purposes and shall not have more than a single dwelling for one family and sufficient, in DeSiervi's own discretion, parking space for use by DeSiervi in connection therewith. 14. No trade or business of any kind which may be objectionable will.be permitted on the premises. -4- 15. No .fence over two (2) feet shall be erected on the premises witho.ut.'.:,.the written, consent of Floradan, provided, howevert that the fence set forth in paragraph 4 may be erected. 16. 1?qPilITY4 shall not throw or dispose, 'of garbage, refuse or. rubbish -on the premises or on other property of Floradan or- the adjacent premises., and such garbage,,'refuse or rubbish shall not. be kept on, the* premises for more than .24. hours.. Notwithstanding the foregoing, DeSiervi may :store such garbage, refuse..or.rubbish in suitable containers for disposal on a weekly basis 17. In ca.se.D.eSiervi wishes to sell the premises, they will first offer them to Floradan on the same terms and conditions as is proposed to sell them to another, and Floradan shall have ten (10) days within which to accept or decline such offer. if Floradan does not provide written. notice of its acceptance or declination within said ten (10) days, DeSiervi shall have the right 'to effectuate such sale.. 18. At the.. time DeSiervi rents or leases the premises, Floradan may strictly enforce the observance by the tenant of the reasonable rules and regulations above mentioned. 19.: No dug,, Orilled or driven well is permitted on the. premises set forth in Schedule A for the purpose of obtaining domestic water so.long as Floradan is ready, willing and able to pr ovide water "i V d;prem isps. 20. Floradan Estates, Inc. represents and warrants that it is the successor to Floradan Country Club, Inc., which is the successor to Floradan Lodge, Inc., the party of the first part in a Deed dated April 8, 1961, to Bonnie Zabor, as party of the second part, which Deed was recorded in Liber 548, page 273 on August 3, .19:61 in the Putnam County Clerk's Office, and which describes the same premises as set forth in Schedule A herein.
